Sydney University Lawn Tennis Club Constitution
Name
1. The name shall be the Sydney University Lawn Tennis Club, hereinafter referred to as “the Club”.
Objects
2. The object of the Club shall be:
a. To encourage, foster, promote, develop, extend and govern the sport of within the University.
b. To subscribe to become a member of, and co-operate with any other Association or Associations whose objects are altogether or in part similar to those of the Club.
c. To participate and arrange Australian University Sport competitions.
d. To encourage, foster, promote, develop, extend and govern participation and elite tennis within and outside the University.
No Profits for Members
3. The income and property of the Club will be applied solely towards the promotion of the objects of the Club and Sydney University Sport as set out in this Constitution, and no portion thereof will be paid or transferred, directly or indirectly, by way of dividend, bonus or otherwise, to any Member.
Nothing in this clause 3 of this Constitution will prevent:
a. the payment, in good faith, of reasonable and proper remuneration to any officer or employee of the Club and Sydney University for services actually rendered to the Club and Sydney University Sport or the payment, in good faith, of an amount to any member of the Club and Sydney University Sport in return for any services actually rendered to the Club and Sydney University Sport for goods supplied in the ordinary or usual course of business, or the payment of interest for money lent or reasonable and proper rent for premises demised or let by any Member to the Club and Sydney University Sport;
b. The Club and Sydney University Sport from providing services or information to the Members on terms which are different from the terms pursuant to which services or information is provided to persons who are not Members.
Winding Up
4. If upon the winding up or dissolution of the Club there remains, after satisfaction of all its debts and liabilities, any property whatsoever, the same shall not be paid to nor distributed among the Members, but shall be given or transferred to some other institution or company having objects similar to the objects of the Club, and whose constituent documents prohibit the distribution of its income and property among its members on terms substantially to the effect of clause 3 of this Constitution, such institution or institutions to be determined by the Members at or before the time of the winding up or dissolution of the Club, and in default of any determination, by the Supreme Court of New South Wales, or as determined by Sydney University Sport.
Membership
5. All members of Sydney University Sport shall be eligible for membership of the Club upon payment of a subscription fee as determined by the Management Committee prior to the membership application, provided that in determining such fees the Management Committee may erect membership payment structures or arrangements corresponding with the use by the categories of members in Rule 6, of Club facilities, and in particular their participation in tournament, competitions and social tennis.
Categories of Membership
6. SU Sport shall have the following categories of Membership:
a. University Members; b. Honorary Members; c. Life Members;
d. Honorary Life Members;
e. Community Members; and
f. Junior Community Members
University Members
7. The following persons shall be eligible for University Membership:
a. Student Members;
b. Graduates of the University,
c. All members of Convocation of the University as defined in section
14(1) of the University of Sydney Act; and
d. Full time, part time or casual staff of the University.
Honorary membership
8. The Management Committee may by resolution grant Honorary Membership to any Member whose special association with SU Sport is deemed worthy of such recognition. Honorary Members cannot nominate for election to a Committee of SU Sport or vote at any elections or meetings of SU Sport.
Life Membership
9. The Management Committee may confer Life Membership upon any person who has been a University Member or a member of either of the former sports bodies, Sydney University Sports Union or Sydney University Women's Sports Association or a combination of them and has paid five annual Subscription Fees to either of the former sports bodies and/or SU Sport. University Members

Applicants must complete an application form (as prescribed by the Management Committee from time to time) for Life Membership lodge such application with the Executive Director and satisfy any other conditions as the Management Committee may reasonably impose from time to time.
Honorary Life Membership
10. The General Committee may grant by resolution Honorary Life Membership upon any person who is eligible for University, Honorary or Life Membership of SU Sport, and who in its opinion have rendered special service to SU Sport or to any Constituent Club.
Community Membership
11. The Management Committee may admit any person who is not otherwise eligible to be a University, Honorary, Life Member of Honorary Life Member of SU Sport to Community Membership.
12. Community Members:
a. are not eligible to vote at any Annual General or Special General
Meeting of SU Sport;
b. may vote at Constituent Club elections and at Constituent Club meetings on general club matters provided they are a current financial member of that Constituent Club;
c. may hold Committee positions within a Constituent Club, provided that not more than three of the positions of President, Captain, Secretary or Treasurer of a Constituent Club at any given time is occupied by a Community Member;
d. may not represent their Club at General Committee Meetings.
13. At any one time, the number of Community Members belonging to a Constituent
Club (other than Junior Community Members) must not exceed 30% of the total club membership.
Junior Community Membership
14. Persons aged between 10 and 17 years may apply to join SU Sport as Junior Community Members upon an application being made by an office bearer of SU Sport or a Constituent Club and counter-signed by the applicant for Membership and payment of the relevant Subscription Fee. Junior Community Members do not receive any voting rights at Constituent Club elections and at Constituent Club meetings on general club matters.
Membership Year
15. Each member shall hold membership for one year from 1 February, except for Life Members and Honorary Life Members, whose membership is continuous as provided for in these Rules.
16. Students, or prospective students, enrolling for the first time at the University, and other categories of member joining the Club for the first time, may join after 1 February at the discretion of the Executive, in accordance with fee structures designed by the Management Committee under Rule 5. A prospective student who joins under this Rule shall be deemed to be a student member.
Subscription Fees
17. The Management Committee shall determine Subscription Fees payable by University, Community and Junior Community Members from time to time. Subscription Fees shall be reviewed annually by the Management Committee.
18. Any Subscription Fees shall first be approved by Senate before taking effect. Membership Conditions
19. The membership of any person eligible for membership shall take effect on the receipt by the Committee as hereinafter defined as such information in writing as the Committee and/or Sydney University Sport may from time to time
determine.
20. If any member be in the opinion of the Committee guilty of any conduct prejudicial to the interests of the Club, the Committee or in cases of urgency the Captain may suspend the member alleged to have committed the breach complained of and during such suspension the suspended member shall not be entitled to any of the rights or privileges attaching to membership. No suspension shall be for a longer period than four calendar months nor shall any such suspension be effective after the meeting of the Sydney University Sport General Committee at which the member alleged to have committed the breach appears.
21. Any member may resign from the Club by giving notice of his/her resignation in writing to the Secretary of the Club or to the Executive Director of Sydney University Sport. Such resignation shall take effect from the date of receipt of such notice by one of the Executive Directors.
22. Any person who ceases to be a member of the Club whether by resignation or in any other manner whatsoever shall forfeit all rights and claims upon the Club and its property assets and funds.
General Meetings
23. The Committee shall convene an Annual General Meeting of all members at least once in every calendar year to be held as early as practicable in First Semester at such time and place as may be determined by the Committee.
24. The Committee may whenever it thinks fit convene a Special General Meeting.
25. The Committee shall on receipt of a requisition made is writing stating the objects of the meeting proposed to be called and signed by not less than 5 members of the Club convene a Special General Meeting within twenty one days of the date of receipt of such requisition by the Executive Director of Sydney University Sport.
26. Notice of the Annual General Meeting and of every Special General Meeting shall be given at least ten days before such meeting on the official Club notice board and where practicable in University publications and shall include the general nature of the business to be brought before such meeting.
27. The business of an Annual General Meeting shall be to receive and consider the Annual Report and Financial Statement, to elect Office Bearers and to transact any other business which under this constitution may be transacted by the Club in General Meeting.
28. Ten (10) members personally present shall be a quorum for a General Meeting.
If within thirty (30) minutes from the time appointed for the meeting a quorum is not present the meeting shall lapse.
29. The President shall be entitled to take the chair at all general meetings of the Club. In his/her absence or unwillingness to act the members present shall choose a chairperson from among their own number.
30. No person shall be competent to vote at any General Meeting unless he/she is a member of the Club. Proxy votes shall not be allowed at any General or Committee Meeting of the Club.
31. Every question submitted to a General Meeting shall be decided by a show of hands unless otherwise decided by the meeting or the chairperson. Every member shall be entitled to one vote EXCEPT that in the case of any equality of
votes the chairperson shall have a casting vote in addition to the vote to which
he/she is entitled as a member.
32. Minutes of the proceedings of every General Meeting shall be kept by the Secretary and signed ·by the chairperson of the next succeeding General Meeting.
33. Every resolution passed at any General Meeting shall be binding on all members of the Club whether present thereat or not.
Office Bearers
34. The Office Bearers of the Club shall be:
i. A Patron
ii. A President
iii. Two Vice Presidents
iv. A Captain
v. A Secretary
vi. A Treasurer
vii. A Registrar
viii. A Badge Delegate (men's competitions)
ix. A Badge Delegate (women's competitions)
All of whom shall be elected at the Annual General Meeting.
a The Office Bearers shall be members of the Management Committee.
b The composition of the Officer Bearers must be no more than 70% of one gender.
35. No Office Bearer of the Club shall receive any remuneration for his/her services.
36. A Special General Meeting may, by a resolution of three-fourths of the members present and voting, remove any Office Bearer or Member of the Committee from office before the period of expiration of his/her office.
Control and Management
37. The control and management of the Club shall be vested in a Management Committee consisting of the Office Bearers and three other student members of the Club elected at the Annual General Meeting. The composition of the Management Committee must be no more than 70% of one gender.
38. No person shall fill more than one place on the Committee at any one time.
39. A quorum of this Committee shall be one half of the committee size. If no quorum is present within fifteen (15) minutes of the notified time of Meeting, such Meeting shall lapse.
40. The President shall be entitled to take the Chair at all meetings of the
Committee. In his/her absence or unwillingness to act, the members of the
Committee present shall choose a Chairperson from among their own number.
41. The Secretary shall convene a meeting of the Committee at least twice during
each University semester.
42. The Secretary shall upon request of two (2) members of the committee convene
a meeting of the Committee.
43. No person who is not a member of the Committee shall be entitled to be present at a meeting thereof UNLESS invited to attend by a majority of the Committee in attendance at the meeting.
44. The Committee may declare vacant the seat of any number thereon who has been absent without valid excuse from two (2) consecutive meetings of the Committee.
45. All casual vacancies among the Office Bearers and Committee of the Club shall be filled by the Committee.
46. Every question submitted to the Committee shall be decided by a show of hands unless otherwise decided by the Meeting or the Chairperson. Every member of the Committee shall be entitled to one vote EXCEPT that in the case of an equality of votes, the Chairperson shall have a casting vote in addition to the vote to which he/she is entitled as a member of the Committee.
47. Minutes of every meeting of the Committee shall be kept by the Secretary and signed by the Chair of the next succeeding Committee Meeting.
48. The Annual General Meeting shall appoint such delegate or delegates to represent the Club as may be required with such powers as it may think fit, including especially but not exclusively:
a. The delegates to the Sydney University Sport General Committee under the conditions provided in the Sydney University Sport Constitution.
b. All such delegates shall submit to the Committee a report of each meeting which they attend at the next meeting of the Committee following such meeting.
49. The Committee shall have power to make, alter and repeal such by-laws and regulations not being inconsistent with the Constitution as it may deem necessary or expedient from time to time. Notice of any proposal to make, alter or repeal any such by-laws or regulations shall be given to the Secretary not less than seven (7) days before the meeting of the Committee at which it is intended to present such proposal.
50. Notice of all meetings of the Committee shall be given to all members of the
Committee by the Secretary at least seven (7) days before such meeting.
51. Every resolution of the Committee shall be binding on all members of the Club.
Executive
52. The President, Secretary, Treasurer, Badge Delegate (men's competitions) and Badge Delegate (women's competitions), or any two (2) of them shall constitute the Executive of the Club and may act in any way beneficial to the Club when immediate action is required and it is not practicable or convenient to call a meeting of the Committee. Any exercise of Executive power under this clause will be referred for approval to the next meeting of the Committee.
Powers
53. The Club shall have the power to carry out the objects of this Constitution in such a way as described by this Constitution subject to the Constitution, By Laws, Rules and Regulations of Sydney University Sport.
Duties of the Secretary
54. The Secretary shall keep a faithful record in a book of the business transacted at all meetings. He/she shall keep a copy of the Constitution and all by-laws made there under for the time being in force. He/she shall present a report to the Annual General Meeting and perform all the usual duties required of a Company Secretary.
Duties of the Treasurer
55. The Treasurer shall receive and disburse the monies of the Club as authorised by the Committee. He/she shall keep correct accounts of all such transactions and shall lodge in the Club's trust account all monies received on behalf of the Club. He/she shall present to each meeting of the Club, a financial statement and shall present a report and audited balance sheet to the Annual General Meeting.
General
56. Every member of the Club shall be entitled to peruse a copy of this constitution and of all rules, regulations and by-laws promulgated hereunder for the time being in force, copies of which shall at all times be available from the Secretary.
57. The constitution of this Club shall not be amended UNLESS
a. The amendment shall be passed by 2/3 of the members of the Club
present and voting at a General Meeting.
b. Notice of intention to move the amendment shall be received by the Secretary at least twenty-eight (28) days prior to the date of such meeting in which case such notice shall be given in the notice convening the meeting.
c. The amendment shall be subsequently approved by the Sydney
University Sport Management Committee.
